Plain-language summary

  • Quay is a desktop database client published by Zaid Yasyaf (uncle-z.com).
  • The Free tier is free to use, no signup needed, no time limit.
  • Pro and Pro Plus require an active subscription or lifetime license, billed through Polar (our merchant of record).
  • One license = one user, usable on a limited number of devices (Pro: 2, Pro Plus: 5). You can move devices around freely via the device manager.
  • You can't resell, sub-license, or share your license key with people outside your seat count. Companies needing more seats: see volume pricing.
  • We can't be held liable for data loss caused by Quay. Always test backups. Always have offline copies.
  • Refunds: 14 days, no questions asked. See the refund policy for details.

1. Definitions

"Quay" means the desktop application and any associated services (license server, account portal, marketing site) operated under uncle-z.com domains.

"We", "us", "our" means Zaid Yasyaf, sole proprietor, operating as Quay.

"You", "your" means the individual or organization using Quay under a license issued to that individual or organization.

"License" means the right granted by us to use the paid tiers of Quay, evidenced by a license key delivered to the email address you registered with.

2. License grant

Subject to these terms and your continued payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable license to install and use Quay on the number of devices permitted by your tier.

2.1 Tier device limits

  • Free: unlimited devices, no enforcement
  • Pro: up to 2 simultaneously active devices
  • Pro Plus: up to 5 simultaneously active devices
  • Add-on devices may be purchased at the rate listed on the pricing page.

A device is "active" once you've activated Quay on it. You can deactivate any device at any time via the in-app License panel or the account portal. Deactivation frees the slot immediately.

2.2 Per-user, not per-machine

Each license is for a single named user. You can move it across machines you own. You can't share a license with co-workers or hand it off when you leave a company unless the license was purchased by the company under a volume agreement.

3. Restrictions

You may not:

  • Reverse engineer, decompile, or disassemble Quay except as permitted by applicable law
  • Resell, rent, lease, or sub-license Quay or any license key
  • Remove or alter copyright, trademark, or other proprietary notices
  • Use Quay to violate any law or third-party right (this includes processing data you don't have authorization to access)
  • Attempt to bypass the licensing system, share license keys outside your seat count, or use Quay's paid tiers without a valid license

4. Payment, billing, taxes

All payments are processed by Polar, who is the merchant of record. Polar handles billing, currency conversion, taxes (VAT / GST / sales tax) for the jurisdictions they cover. Your card statement will show "POLAR *QUAY" or similar.

Subscriptions renew automatically until cancelled. You can cancel at any time through the Quay account portal, which routes the cancellation to Polar — your subscription remains active until the end of the current billing period.

Lifetime licenses include 1 year of updates from the date of purchase. After that, you keep perpetual use of the last released version; subsequent versions require renewal at the prevailing lifetime price.

5. Updates

We may release updates, bug fixes, and new features at our discretion. Subscription users always get the latest build. Lifetime users get all updates released within their 1-year update window.

6. Termination

You can cancel your subscription anytime via the account portal. We can terminate your license if you breach these terms (most commonly: license sharing or reverse engineering); we'll give you reasonable notice and a chance to remedy unless the breach is willful. After termination, the app reverts to Free tier — your local data, queries, and connection profiles stay intact.

7. No warranty

Quay is provided "AS IS" without warranty of any kind. We don't promise it'll be bug-free, fit for any particular purpose, or work uninterrupted. Database operations are inherently risky — always test against non-production data first, always have offline backups, always review destructive operations before committing.

8. Limitation of liability

To the maximum extent permitted by law, our total liability under these terms is capped at the amount you paid us in the 12 months preceding the claim. We're not liable for indirect, consequential, or punitive damages — including (but not limited to) data loss, lost profits, or business interruption — even if we knew such damages were possible.

9. Privacy

Our handling of your information is described in the privacy policy, which is incorporated by reference into these terms.

10. Changes

We may update these terms; when we do, we'll change the "Last updated" date and, for material changes, notify active license holders via email. Continued use after changes means you accept them.

11. Governing law

These terms are governed by the laws of the jurisdiction in which Zaid Yasyaf resides at the time of any dispute. Any dispute that can't be resolved informally goes to the courts of that jurisdiction.
